Capital Banking Solutions announces the acquisition of Synapse Risk & Compliance
The transaction strengthens Capital Banking Solutions’ compliance and Know Your Customer (KYC) offering while providing Synapse Risk & Compliance with new opportunities for international expansion.

Capital Banking Solutions (CBS), a provider and integrator of banking software solutions for commercial banks, wealth management institutions, microfinance organizations and international banks, announces the acquisition of Synapse Risk & Compliance (Synapse), a French specialist in regulatory compliance, third-party risk management and KYC solutions, from Syspertec Group.
Backed by Amethis since 2023, Capital Banking Solutions continues to execute its growth strategy by strengthening its capabilities in compliance, Know Your Customer (KYC) and risk management.
Synapse serves a wide range of organizations, particularly in the financial services sector, including BoursoBank, La Nef, La Poste Groupe, Crédit Agricole, BPCE, Revolut and Toyota Financial Services. Its solutions enable financial institutions and large enterprises to manage third-party risk, conduct due diligence and comply with regulatory requirements relating to customers, suppliers and business partners. Synapse generates annual revenues of approximately €8 million.
This acquisition marks a strategic milestone in the development of Capital Banking Solutions. Synapse’s solutions complement CapitalCompliance™, CBS’s anti-money laundering and counter-terrorist financing (AML/CFT) compliance platform, which is fully integrated into its core banking systems. Together, the combined offering will enable financial institutions to manage the entire compliance lifecycle, from customer onboarding and KYC controls to the operational management of banking activities.
The combination will create both technological and commercial synergies. It will support the development of new functionalities, the integration of Synapse’s RegTech solutions into CBS platforms, the launch of joint offerings, and the acceleration of Synapse’s international expansion through CBS’s long-established presence across Europe, French-speaking Africa, the Middle East and the Americas.
Following the completion of the transaction, the combined group will generate approximately €54 million in consolidated revenue, with 60% generated in Europe, and will employ 430 professionals across multiple international locations.
As part of the transaction, Synapse’s management team and shareholders are reinvesting in the combined group and joining its governance structure, reflecting their confidence in the industrial project and their long-term commitment to supporting its growth.
In connection with the acquisition, Capital Banking Solutions has also refinanced its senior debt with the continued support of its longstanding banking partners. The financing was arranged by BRED as lead arranger, alongside BPMED, LCL and Banque Populaire Rives de Paris, together with the implementation of a mezzanine financing facility provided by CEIDF and SOCADIF.
